By accessing or using our website, mobile application, or any services provided by imvisible.ai (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

imvisible.ai is a platform that enables professionals to create AI-optimized profiles, track their visibility in AI-powered search systems, and enhance their professional discoverability. Our Service transforms traditional resumes and professional information into narrative-style profiles optimized for AI systems like ChatGPT, Perplexity, Claude, and other AI assistants.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements.

2.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.

3. Description of Service

imvisible.ai provides the following services:

• Discovery Testing: Test and measure your visibility in AI-powered search results
• Visibility Tracking: Monitor your visibility score, profile views, and engagement metrics
• Competitive Intelligence: Track competitors and peers who appear in similar AI search results
• Content Generation: AI-powered content creation tools for LinkedIn posts, articles, and other professional content
• Analytics Dashboard: Comprehensive analytics including bot tracking, geographic data, and engagement metrics
• Interactive Features: AI chat interface and job evaluation tools for profile visitors

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. User Content and Intellectual Property

4.1 Your Content

You retain ownership of all content you upload, submit, or create through the Service ("User Content"), including but not limited to:

• Resume and CV information
• Professional experience and education details
• Portfolio links and project descriptions
• Profile customizations and personal information

4.2 License to Use Your Content

By submitting User Content to the Service, you grant imvisible.ai a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to:

• Use, reproduce, modify, adapt, publish, translate, and distribute your User Content
• Create derivative works from your User Content (including AI-generated profile narratives)
• Display your User Content on your public profile page and in search results
• Allow AI systems and crawlers to index and cite your profile content
• Use your User Content for the purpose of providing and improving the Service

4.3 AI-Generated Content

The Service uses artificial intelligence to generate narrative content, suggestions, and recommendations based on your User Content. You acknowledge that:

• AI-generated content is created using your User Content and may be similar to content generated for other users
• You are responsible for reviewing and verifying all AI-generated content before publishing
• AI-generated content does not constitute professional advice or guarantees
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content

4.4 Our Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and software, is owned by imvisible.ai and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload false, misleading, or fraudulent information
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload content that is defamatory, libelous, obscene, pornographic, abusive, or offensive
• Upload content that infringes on intellectual property rights of others
• Upload malicious code, viruses, or other harmful software
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers, etc.) to access the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any commercial purpose not expressly permitted by these Terms
• Collect or harvest information about other users without their consent

6. Subscription Plans and Payment

6.1 Subscription Plans

imvisible.ai offers the following subscription plans:

• Free Plan: Basic features with limited discovery tests and analytics
• Pro Plan: Unlimited discovery tests, advanced analytics, competitive intelligence, and content generation
• Enterprise Plan: Custom pricing for teams and organizations with additional features

6.2 Payment Terms

For paid subscriptions:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as stated in our refund policy
• We reserve the right to change our pricing with 30 days' notice to existing subscribers
• You are responsible for providing accurate payment information
• If payment fails, we may suspend or terminate your account

6.3 Free Trial

We may offer a free trial period for Pro Plan features. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

6.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We offer a 30-day money-back guarantee for Pro and Enterprise plans. Refund requests must be submitted within 30 days of the initial purchase.

7. Public Profiles and Privacy

7.1 Profile Visibility

When you publish your profile, it becomes publicly accessible and may be:

• Indexed by search engines (Google, Bing, etc.)
• Crawled by AI systems (ChatGPT, Perplexity, Claude, etc.)
• Viewed by anyone with your profile URL
• Shared and linked to by third parties

7.2 Draft Mode

You may keep your profile in draft mode (private) until you are ready to publish. Draft profiles are not publicly accessible or indexed by search engines or AI systems.

7.3 Unpublishing

You may unpublish your profile at any time, which will remove it from public access. However, cached versions may continue to exist in search engines and AI systems for some time.

8. Third-Party Services and Integrations

The Service integrates with and relies on third-party services to provide functionality, including:

• Infrastructure & Hosting: Cloudflare (CDN and security), Supabase (database and backend services)
• Payment Processing: Stripe (payment processing and subscription management)
• Company Services: Firstbase (company compliance and registered agent services)
• Authentication: Google, GitHub, and other OAuth providers
• AI Services: Exa API and other AI search APIs for discovery testing
• Analytics: Various analytics and tracking services
• Social Media: Integration with social media platforms

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. Any issues with third-party services should be directed to the respective service provider.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available, uninterrupted, secure, or error-free. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 No Guarantees

We do not guarantee that:

• Your profile will appear in AI search results
• You will receive job opportunities, clients, or other professional opportunities
• Your visibility score will improve
• AI systems will accurately represent your profile
• The Service will meet your specific requirements

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLROUTER INC AND IMVISIBLE.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless ToolRouter Inc, imvisible.ai, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent, abusive, or illegal activity
• You fail to pay subscription fees
• We are required to do so by law
• We discontinue the Service

11.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account and User Content
• You will not be entitled to any refund of subscription fees
• Provisions that by their nature should survive termination will remain in effect

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.

12.2 Dispute Resolution Process

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

2. If negotiations fail, binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA)
3. Arbitration shall take place in Wilmington, Delaware, United States
4. The arbitrator's decision will be final and binding, and judgment may be entered upon it in any court of competent jurisdiction

You waive your right to a jury trial and to participate in class action lawsuits. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email to the address associated with your account
• Displaying a notice within the Service

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.

14. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ToolRouter Inc (operating as imvisible.ai) regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
